Seller Agreement — Grandbajar (APNADUKA PRIVATE LIMITED)
This Seller Agreement (“Agreement”) is entered into between Grandbajar (APNADUKA PRIVATE LIMITED) (“Platform/Company”) and the registered Seller (“Seller”).
Grandbajar operates as a multi-vendor e-commerce marketplace. . Multiple independent sellers may register and list products on this platform. Each seller is responsible for their own product listings, pricing, shipping, returns, and customer service. Grandbajar provides the platform, payment facilitation, and certain dispute-resolution services.
1. Product Quality & Authenticity
Seller shall list only genuine, safe, and lawful products. Each product must comply with applicable laws, food safety, and labeling regulations. Seller is fully responsible for the authenticity and quality of all listed products.
2. Packaging & Labeling Standards
Seller must strictly follow the packaging and labeling requirements appropriate to the product category. Poor packaging or non-compliance may result in penalties, refund deductions, or suspension.
- Manufactured Products: Must clearly display Manufacturing Date and Expiry/Best Before Date.
- Vegetables & Perishables: Must be packed in moisture-control packaging to prevent spoilage.
- Instant Food & Consumables: Must be sealed in liquid-proof, tamper-proof packets.
- Liquid & Syrup-Based Products: Must be double-wrapped, sealed, and packed in leak-proof containers to prevent damage to other parcels.
- General Rules: Packaging must be secure for safe handling and transit.
3. Order Management
Seller must accept and prepare orders on time for pickup by Grandbajar’s delivery partners. Failure to hand over products promptly may result in order cancellation and penalties. Seller must cooperate with delivery partners for smooth fulfillment.
4. Settlement & Payouts
Standard settlements will be processed to the Seller within 3 business days after successful delivery. If an order is under dispute or complaint review, payout will be withheld until investigation is completed. Refunds or penalties will be deducted from Seller’s payout where applicable.
5. Cancellation & Refund Liability
Products on Grandbajar (APNADUKA PRIVATE LIMITED) are generally non-refundable, except in cases of:
- Wrong item shipped
- Defective, broken, expired, or unsafe product
- Product significantly different from its description
In such cases, Seller shall bear the liability, and refunds will be deducted from Seller’s payout.
6. Customer Complaints
Customers must raise complaints within 24 hours of delivery. Seller must cooperate with complaint investigations conducted by Grandbajar Customer Care.
Repeated complaints (more than 3 valid complaints within 30 days) may lead to:
- Payout hold
- Penalties
- Suspension or permanent removal from the platform
7. Pricing & Product Listings
Seller must list products at fair market prices. Misleading descriptions, fake products, or false advertisements are prohibited. Product images are for reference only and may not exactly match the delivered product. Refunds will not be allowed for issues related to size, color variation, or image differences.
8. Trial Onboarding Period
Sellers may be onboarded with minimal documentation for an initial trial period of one (1) month. Within this one-month period, Seller must submit all mandatory documents, including:
- Business registration certificate
- GST/tax registration (if applicable)
- Bank account proof
- Identity and address verification
Failure to provide the required documents within 30 days will result in automatic account suspension until compliance is completed. Orders already in process will be completed, but Seller will not be allowed to accept new orders until documents are submitted.
9. Complaint-Based Settlements
If any order receives a customer complaint, payout for that order will be withheld. Grandbajar Customer Care will investigate the complaint in consultation with both Seller and Customer. If the complaint is found valid, the refund amount will be deducted from the Seller’s payout.
Settlement for disputed orders will be processed within 15–20 working days after investigation is completed.
10. Legal & Regulatory Compliance
Seller must comply with all applicable laws, tax rules, food safety standards, and e-commerce regulations. Seller shall indemnify and hold Grandbajar (APNADUKA PRIVATE LIMITED) harmless from any claims, damages, or liabilities arising from Seller’s products.
11. Termination of Agreement
Grandbajar (APNADUKA PRIVATE LIMITED) may terminate this Agreement immediately if:
- Seller fails to meet quality, packaging, or document requirements
- Seller receives repeated complaints
- Seller engages in fraudulent, illegal, or unethical practices
Seller may terminate their account with 15 days written notice, provided there are no pending orders, unsettled payouts, or disputes.
12. Limitation of Liability
Grandbajar (APNADUKA PRIVATE LIMITED) is a platform and facilitator only, not the manufacturer of goods. Seller is solely responsible for product quality, compliance, and packaging. Grandbajar’s liability is limited to facilitating payments and logistics.
13. Governing Law
This Agreement is governed by the laws of Karnataka, India. Any disputes will fall under the jurisdiction of the courts of Bangalore, Karnataka.
14. Acceptance of Agreement
By registering as a Seller on Grandbajar (APNADUKA PRIVATE LIMITED), you acknowledge that you have read, understood, and agreed to this Agreement.
